

General Meeting of Shareholders
The General Meeting of Shareholders is a corporate organ that has the highest authority not granted to the Board of Directors or the Board of Commissioners in making decisions on major and strategic matters that greatly affect the course of business.
GMS consists of Annual GMS and Extraordinary GMS. The Annual General Meeting of Shareholders (AGMS) is a mandatory annual meeting between the Company’s Board of Commissioners and Directors and shareholders that must be held within 6 (six) months from the date of the annual financial statements. At each AGMS, the company presents its annual report, which contains information for shareholders on the company’s performance and strategy. Shareholders with voting rights can vote on agendas in the AGMS, such as approval of the company’s financial statements, appointment and compensation of the Board of Directors and/or Board of Commissioners, payment of dividends and appointment of the company’s auditor.
Extraordinary General Meeting of Shareholders (EGMS) is a meeting of shareholders that is not an AGMS and can be held at any time based on the need for the company’s interests. The agenda of the EGMS is more related to urgent matters or which are usually not part of the agenda for the company’s AGMS.
